Your VIDOONS licence
(1) Introduction
This Licence governs your use of the VIDOON animations and still images on our website “VIDOONS2go.com”; by using our VIDOONS, you accept this document licence (the “Licence”) in full. If you disagree with any part of this Licence, do not use our VIDOONS.
In this Licence, “we” means – and “our” refers to – VIDOONS Ltd.
In this Licence VIDOONS refers to – collectively, any (a) still image(s), moving images, animations, cartoons, VIDOONS animations, videos or other moving visual/audio representations recorded in any format that are created, produced, controlled by or obtained, directly or indirectly, from VIDOONS LTD.
(2) Intellectual property rights
We own the intellectual property rights in the VIDOONS. Subject to the licence below, all our intellectual property rights are reserved.
(3) Copyright and Copyright Notice
All Content is copyright VIDOONS LTD and is protected by United Kingdom Copyright laws, international treaty provisions and other applicable laws. No title or intellectual property rights in the VIDOONS are transferred to you. VIDOONS LTD retain all rights not expressly granted by this Agreement.
(4) Unauthorised Use
Any use of VIDOONS by you or your customers in a manner not expressly authorised by this Agreement or in breach of any term of this Agreement constitutes copyright infringement, entitling VIDOONS LTD to exercise all rights and remedies available to it under copyright laws around the world. You shall be responsible for any damages resulting from any breach or alleged breach of this Agreement or any term of this Agreement, including any claims by third parties.
(5) Licence to use VIDOONS
Upon payment, you may download and use VIDOONS for your personal, non-commercial use and subject to the restrictions below:
You have no rights to distribute the VIDOONS or license to others any rights in the VIDOONS.
You are not allowed to sub-license, sub-distribute, resell, re-record, transfer, assign, sell, resell, redistribute or provide to others any portion of the VIDOONS or its accompanying materials. The VIDOONS may not be shared by creating a database, disc library, image, video or audio storage jukebox, network configuration or similar arrangement. The VIDOONS may not, in whole or in part, and any derivative work thereof may not be used, sold, licensed, reproduced, distributed or displayed or made available as (a) templates, (b) stand-alone backgrounds, (c) stock elements or effects imagery elements, (d) downloadable files or (e) any other clip media/stock product, each as part of another library, collection, or set of clips for distribution or resale.
Except as permitted herein, you may not post any VIDOONS on any electronic bulletin board, video sharing website from which it can be downloaded, post it on-line in a downloadable or FTP format, or use it in a website at a resolution higher that 72dpi.
You must not use VIDOONS animations or still images in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
You must only use VIDOONS animations or still images in a way which is not:
(a) libellous or maliciously false;
(b) obscene or indecent;
(c) infringe any copyright, moral right, database right, trade mark right, design right, right in passing off, or other intellectual property right;
(d) infringe any right of confidence, right of privacy, or right under data protection legislation;
(e) constitute negligent advice or contain any negligent statement;
(f) constitute an incitement to commit a crime;
(g) in contempt of any court, or in breach of any court order;
(h) in breach of racial or religious hatred or discrimination legislation;
(i) blasphemous;
(j) in breach of official secrets legislation;
(k) in breach of any contractual obligation owed to any person;
(l) depict violence in a explicit, graphic or gratuitous manner;
(m) pornographic or sexually explicit;
(n) untrue, false, inaccurate or misleading;
(o) consist of or contain any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage;
(p) constitute spam;
(q) offensive, deceptive, threatening, abusive, harassing, or menacing, hateful, discriminatory or inflammatory; or
(r) cause annoyance, inconvenience or needless anxiety to any person.
Your use of VIDOONS content must be appropriate, civil, tasteful and accord with generally accepted standards of etiquette and behaviour on the internet.
(6) Taxes & Duties
You are responsible for paying any and all applicable sales taxes, use taxes, value added taxes, customs and duties imposed by any jurisdiction as a result of the license granted to you, or your use of the Content, pursuant to this Agreement in addition to the price paid for VIDOONS LTD’s Content.
(6) Limitations of warranties and liability
VIDOONS LTD reserves the right to revoke the license to use any VIDOONS for good cause. Upon notice of any revocation of a license for any VIDOONS, You agree to cease using such VIDOONS immediately and will take all reasonable steps to discontinue the use of the revoked VIDOONS in your derivative works and will inform all of your end-users and customers of the same
(7) Limitations of warranties and liability
To the maximum extent permitted by applicable law we exclude all representations, warranties and conditions (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose including, but not limited to, fitness for inserting into presentations, public performance etc.
VIDOONS does not warrant that the functions contained in any content will be uninterrupted or error-free, that any defects will be corrected or that the Sites or the server which stores and transmits content to you are free of viruses or any other harmful components.
VIDOONS does not warrant or make any representation regarding your access to, or the results of your access to, the Sites (including any related or linked web sites) or any content in terms of correctness, accuracy, timeliness, completeness, reliability or otherwise.
To the fullest extent permitted by law, VIDOONS’s liability for breach of any implied warranty or condition which cannot be excluded is limited at the option of VIDOONS to the following:
In the case of services supplied or offered by VIDOONS: The supply of the services again.
Our liability in relation to the VIDOONS is limited and excluded to the maximum extent permitted under applicable law. We will not be liable for any direct, indirect or consequential loss or damage arising under this Licence or in connection with the VIDOONS, whether arising in tort, contract, or otherwise – including, without limitation, any loss of profit, contracts, business, goodwill, data, income, revenue or anticipated savings.
However, nothing in this Licence shall exclude or limit our liability for fraud, for death or personal injury caused by our negligence, or for any other liability which cannot be excluded or limited under applicable law.
(8) Variation
We may revise this Licence from time-to-time. Variations to this Licence will apply to the use of the VIDOONS downloaded from this website from on or after the publication of the varied Licence upon this website.
(9) Law and jurisdiction
This Licence will be governed by and construed in accordance with English law, and any disputes relating to this Licence shall be subject to the exclusive jurisdiction of the courts of England.
